1. Purpose

This policy is established to define the procedures, rights, and responsibilities of all distributors in order to ensure consistent, high-quality, and effective product distribution.

2. Scope

This policy applies to all distributors who have entered into an agreement with Nova Link Biotech., Ltd for distributing the company’s products.

3. Distributor Responsibilities

Distributors shall:

• Comply with all company policies and standards
• Distribute products honestly and without tampering with branding
• Maintain proper product quality (storage and handling)
• Not sell below or above the company’s assigned pricing without approval
• Provide regular sales and market reports
• Avoid any actions that may damage the company’s reputation

4. Distributor Rights

Distributors are entitled to:

• Receive company support (training, marketing materials)
• Access special pricing or discounts based on conditions
• Use company branding with proper authorization
• Receive updates on new products and marketing strategies

5. Pricing Policy

• Selling prices must follow the Recommended Retail Price (RRP)
• Unauthorized discounts are not permitted
• The company reserves the right to adjust pricing based on market conditions
• Unauthorized use of company logo or brand is prohibited6. Brand & Marketing Policy
• Misleading or false product promotion is not allowed

• All marketing activities must align with company guidelines

7. Order & Inventory Policy

• Orders must be placed through the company’s approved system
• Distributors must manage inventory efficiently
• Selling expired products is strictly prohibited

8. Compliance & Discipline

• The company reserves the right to audit distributor activities
• Violations may result in actions such as:

• The agreement is valid for a specified period
• Either party may terminate with prior notice
• Immediate termination may occur in case of serious violations

10. Confidentiality

• Distributors must keep all business information confidential
• Disclosure to third parties is strictly prohibited `

11. The Distributor agrees to comply with all applicable tax laws and regulations of the Kingdom of Cambodia, including the obligation to declare and pay any income or profits generated from the system in accordance with the prevailing tax requirements.

12. Amendments

• Nova Link Biotech., Ltd reserves the right to amend this policy
• Distributors must comply with updated versions
